Minutes of the 4-6-2009 Board Meeting

MEETING OF APRIL 6, 2009
225 W. Main Street , Medford

Meeting called to order at 6:00 PM

1. Present Steve Kraft, Jim Sims, John Statler, John Miele, and Will Taft. Louise Dix and Tommy Larson arrived a few minutes later. Guests present: Daniel Newberry, Christine Haney

2. Minutes of March 16, 2009 regular meeting and March 23 special meeting of the Board were read. John Statler moved and John Miele seconded approval as corrected. Passed unanimously.

3. A letter of resignation from Board member Erika Robinson was accepted. Election of a replacement was tabled to the Board’s April 20 meeting.

4. Steve Kraft Moved and John Miele seconded continuing John Statler as the third signatory with Umpqua Bank replacing Erika Robinson. John will sign authorization cards at the bank. Passed unanimously

5. John Statler was appointed to the standing Board Financial Committee.

6. Daniel Newberry, Membership and Development Director for the Southern Oregon Historical Society discussed the sequencing of the fundraising process with the Board of Directors.
Jim Sims, Louise Dix and Steve Kraft will attend the NCGA Western Corridor Co-op Conference in Portland April 17 and 18.

UNFINISHED BUSINESS:

Steve Kraft Moved and John Miele seconded reimbursing John Statler for membership postcards purchased and for reserving the Medford Library meeting room for the December 2008 membership meeting $593.77. Passed unanimously. John will file receipts for the expenditures.

Two questions to be posed to the Co-op owners by email were discussed. Selected were:
1. What ways would you expect your Medford Food Co-op to demonstrate environmental sustainability?
2. If you currently drive to the Ashland Food Co-op why do you do so?

NEW BUSINESS:

John Miele moved and John Statler seconded appointing Daniel Newberry to the fundraising committee. Passed unanimously.

John Miele reported that the Board will meet April 9th at 6:00 PM with Richard Katz of the Ashland Food Co-op and will car pool to Ashland from the Mayor’s fountain at 5:00 PM. Arrangements are in process to view the Ashland Food Co-op’s prior location at the outdoor store.

Information on three available buildings for store location in Medford were received from realtor Frank Pulver and added to sites under review.

John Miele moved and Steve Kraft seconded amending the Articles of Organization filed with the State of Oregon to change the organization’s name from Medford Market Co-operative to Medford Food Co-op. Change of internet domain name was tabled for further investigation into availability.

John Statler moved and Louise Dix seconded sending the Estimate of Costs of Tenant Improvements (Scope of Work) and the Sources and Uses Budget to Tom Bradley regarding the Foodland location. Passed unanimously.

John Miele moved and Steve Kraft seconded appointing Al Groz to the site review standing committee. Passed unanimously.

John Miele discussed the Medford Plaza and Foodland locations

The Fundraising Committee will meet April 15, 3:30 PM at 225 W. Main .
John Miele, Louise Dix and Jim Sims will review Co-op records April 10, 2:30, 225 W. Main .
The Site Review Committee will meet April 13, 6:00 PM 225 W. Main .
